These Terms & Conditions ("Terms") govern your access to and use of the platform, website, and related services (the "Service") provided by Conversee LTD ("Conversee", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Conversee is a go-to-market decision platform that analyses publicly available conversations to surface buying-intent signals and recommendations. The Service is a decision-support tool: it suggests where attention may be warranted, but all decisions and actions remain yours. Conversee operates on a human-in-the-loop basis and does not post, message, or otherwise engage with third parties on your behalf automatically.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use. You are responsible for the accuracy of the information you provide, for safeguarding your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
3. Licence to use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. We retain all rights not expressly granted.
4. Acceptable use
You agree not to:
- use the Service in violation of any applicable law or third-party rights;
- send spam, harass, deceive, or otherwise misuse signals to contact individuals unlawfully;
- attempt to reverse engineer, scrape, copy, or resell the Service or its outputs except as permitted;
- interfere with or disrupt the integrity or performance of the Service; or
- access the Service to build a competing product.
5. Your responsibilities when acting on signals
You are solely responsible for any outreach, communication, or other action you take based on signals or recommendations provided by the Service. You must comply with all applicable laws and the terms of any third-party platform you use to engage (including, where relevant, anti-spam, marketing, and data-protection laws such as CAN-SPAM, GDPR, and the platforms' own terms of service). Conversee is not responsible for how you choose to use its outputs.
6. Signals, accuracy, and no guarantee of results
Signals and recommendations are generated using automated analysis of public information and are provided for informational purposes. We do not warrant that signals are accurate, complete, current, or that acting on them will produce any particular outcome, including any number of leads, responses, or revenue. The Service is provided to support your judgment, not replace it.
7. Fees and payment
If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Unless stated otherwise, fees are exclusive of taxes, are billed in advance, and are non-refundable except as required by law. We may change fees on prospective notice; changes do not affect your current paid term.
8. Intellectual property
The Service, including its software, design, and content (excluding your data and public third-party content), is owned by Conversee or its licensors and is protected by intellectual-property laws. You retain ownership of the information you submit ("Customer Data"). You grant us a licence to use Customer Data as necessary to provide and improve the Service, consistent with our Privacy Policy.
9. Third-party services
The Service integrates with or links to third-party services (for example authentication, hosting, and the platforms whose public content is analysed). We are not responsible for third-party services, and your use of them is governed by their own terms.
10. Data protection
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Limitation of liability
To the maximum extent permitted by law, Conversee and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to us in the nine months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Conversee from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your Customer Data, or your breach of these Terms or of applicable law, including any outreach you conduct based on signals.
14. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive termination (including Sections 6, 8, 11, 12, and 13) will survive.
15. Changes to the Service and Terms
We may modify or discontinue features of the Service at any time. We may also update these Terms; when we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
16. Governing law and disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts located in Tel Aviv, Israel will have exclusive jurisdiction over any dispute, except where applicable law gives you the right to bring proceedings elsewhere.
17. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Conversee regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
